ACM: elderly care provider Omring meets conditions attached to acquisition of rival provider Vrijwaard

Elderly care provider Omring has received clearance needed to complete the acquisition of rival provider Vrijwaard in the northern Dutch city of Den Helder. With the sale of the care activities in three nursing homes, the providers have met the conditions under which the clearance for the acquisition was granted. The Netherlands Authority for Consumers and Markets (ACM) has cleared the sale to AristoZorg. As a result thereof, seniors and their loved ones in the greater Den Helder area will be able to choose the nursing care or daily activities that meet their needs.

What was the case about?

Health care provider Omring wished to acquire rival provider Vrijwaard. In 2020, ACM cleared this acquisition on the condition that three of Vrijwaard’s care locations be transferred to another care provider that was then not yet active in the city of Den Helder. That would ensure that seniors and their loved ones in the greater Den Helder area continue to have options. The nursing care and daily activities in three homes (Ten Anker, Parkzicht and Lyceumhof) will now be transferred to AristoZorg. AristoZorg offers home care, assisted living, and daily activities in the western Dutch province of Noord-Holland. Clients of Ten Anker, Parkzicht and Lyceumhof will continue to receive care in these nursing homes. The transfer will take place with care and with an eye to the clients’ interests.

ACM’s merger control

Through its assessments of mergers and acquisitions in the health care sector, ACM contributes towards the affordability, accessibility, and quality of health care. In ACM’s assessments of mergers and acquisitions, the consequences for patients and insured are central. If patients, health insurers, and municipalities continue to have sufficient options after a merger or acquisition, it will help towards lower prices, higher quality, and more innovation in health care.
