NMa approves merger between Menzis and Azivo

The Netherlands Competition Authority (NMa) approves the merger between Menzis and Azivo. The supervisor concludes that the merger does not significantly impede effective competition. The consumer retains adequate freedom of choice and the new consortium is subject to sufficient competitive pressure.

The NMa concludes that the new consortium will be subject to sufficient pressure from competitors in the health care insurance market, both nationally and regionally. Nationally, the new consortium will have a market share of less than 15%. In addition to the new consortium, there are three other large health care insurers active: Achmea, UVIT and CZ. In addition to these, a number of smaller players are active on the national level. The consortium will have a market share of less than 15%, even in Zuid-Holland (Azivo's territory). In this province, there are four competitors with a market share larger than that of the merger partners together, to wit: UVIT, Achmea, CZ and DWS.

The NMa assesses whether the actual competition is significantly impeded in case of mergers and takeovers, in particular as a result of the creation or strengthening of a dominant position. Such a dominant position may result in negative consequences to cost, quality and diversity of supply. In its investigation the NMa consulted the Dutch Healthcare Authority, which endorsed the outcome of the decision in its opinion.
